1. Agreement and eligibility
By accessing or using a Qube Enterprises website that links to these Terms (the “Site”), you agree to these Terms of Use. If you use the Site for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Site.
The Site is designed for business audiences. You must be at least 18 years old or the age of legal majority where you live to submit an inquiry or enter a paid arrangement with Qube.
2. Informational website; acceptable use
Site content is provided for general informational and marketing purposes. It is not legal, financial, accounting, cybersecurity, employment, investment, or other professional advice, and it is not a promise that a particular result is available or appropriate for you.
You may use the Site only lawfully. You may not:
- interfere with, overload, probe, scan, test, circumvent, or disrupt the Site or its security without express written authorization;
- introduce malware, automate abusive requests, scrape at unreasonable volume, or attempt unauthorized access;
- misrepresent affiliation, impersonate another person, or submit unlawful, infringing, deceptive, or harmful material;
- copy, modify, publish, sell, or exploit Site content except as expressly permitted by law or written permission; or
- use the Site or its content to develop, train, benchmark, or market a substantially similar commercial offering without written permission.
We may suspend or block access reasonably believed to violate these Terms or threaten the Site, Qube, clients, or others.
3. Inquiries, sessions, proposals, and prototypes
Submitting an inquiry, requesting a meeting, or discussing a possible project does not obligate either party and does not create a client, fiduciary, partnership, employment, agency, or joint-venture relationship. Fees, scope, deliverables, licenses, ownership, confidentiality, warranties, service levels, and acceptance criteria apply only when stated in a separate written agreement accepted by Qube.
Any stated meeting or prototype fee is due only under the booking, invoice, proposal, or other written terms presented for that engagement. Public Site content is not a binding quote or offer.
Product names, demonstrations, roadmaps, availability, features, and launch timing are illustrative and may change or be discontinued without notice. Pre-release products may have errors or incomplete functionality.
4. Application-security services
Qube performs security testing only with documented authorization and a written scope defining systems, accounts, methods, timing, contacts, and rules of engagement. Site descriptions of security capabilities are not permission to test any Qube, client, vendor, or third-party system.
Security reviews reduce risk but cannot identify every weakness or guarantee that software is secure. Findings reflect the agreed scope, conditions, information, and time available. Remediation, retesting, disclosure, and reliance are governed by the applicable written agreement.
5. AI-enabled systems and outputs
Some Qube systems or prototypes may use machine learning or generative artificial intelligence. Outputs can be incomplete, inaccurate, biased, inconsistent, or unsuitable for a particular purpose. Appropriate human review, source verification, access controls, testing, monitoring, and fallback procedures remain necessary. No Site statement authorizes use of AI output as the sole basis for high-impact decisions.
6. Intellectual property
The Site and its text, designs, software, interactive experiences, graphics, marks, names, logos, and other materials are owned by Qube or its licensors and are protected by intellectual-property laws. Subject to these Terms, Qube grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your internal evaluation of Qube’s services.
No ownership or license in client deliverables, prototypes, source code, data, inventions, or work product is granted through this Site. Those rights are determined only by an applicable written client agreement. Public case studies are intentionally limited and do not transfer rights in any underlying client system or confidential material.
If you voluntarily provide general feedback about the Site or Qube offerings, you grant Qube a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or attribution, provided Qube does not thereby obtain ownership of your confidential information or pre-existing intellectual property.
7. Confidentiality and submissions
The public inquiry form and ordinary email are not secure channels and are not covered by a nondisclosure agreement merely because you contact Qube. Do not submit passwords, credentials, regulated data, proprietary source code, client records, vulnerability details, or other sensitive information until appropriate written terms and a secure transfer method are in place.
You retain ownership of information you submit. You grant Qube permission to use, reproduce, transmit, and disclose it as reasonably necessary to respond, evaluate the opportunity, protect systems and rights, and comply with law, subject to our Privacy Policy and any later written agreement.
8. Third-party services and links
The Site may use or link to third-party platforms, libraries, hosts, websites, or services. Qube does not control and is not responsible for third-party content, terms, privacy practices, availability, or security. A link or integration does not imply endorsement. Your use of third-party services is governed by their terms.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL PUBLIC CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” QUBE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS. QUBE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUBE AND ITS OWNERS, PERSONNEL, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR COST OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUBE’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID QUBE, IF ANY, SOLELY FOR ACCESS TO THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limitations do not apply where liability cannot lawfully be excluded or limited. Separate project agreements may state different allocations of risk for paid work.
11. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Qube and its owners, personnel, contractors, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your unlawful use of the Site, your violation of these Terms, or content you submit that infringes or harms another party. This obligation does not apply to the extent caused by Qube’s own unlawful conduct.
12. General terms
Changes
We may update the Site and these Terms. Revised Terms become effective when posted unless a later date is stated. Continued use after the effective date constitutes acceptance.
Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute not governed by a separate written agreement must be brought in a state or federal court of competent jurisdiction in Texas, and each party consents to personal jurisdiction there. Mandatory consumer protections in your home jurisdiction remain unaffected where they cannot be waived.
Severability; waiver; assignment
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without Qube’s written consent; Qube may assign them in connection with a reorganization, financing, or business transfer.
Entire agreement
These Terms and the policies they reference are the entire agreement concerning the public Site and supersede prior statements about Site use. A separately executed agreement controls to the extent of a conflict concerning paid services or deliverables.
